PARTNERSHIP AGREEMENT
This Partnership Agreement (“Agreement”) is made and entered into on [Effective Date], by and between:
Tinfo.in, a job portal platform operating through https://tinfo.in/ (hereinafter referred to as “Tinfo” or “Company”),
Tinfo and Partner may be referred to individually as a “Party” and collectively as the “Parties.”
1. Purpose of the Agreement
The purpose of this Agreement is to establish a strategic partnership whereby:
- The Partner may provide job listings, recruitment services, marketing support, technology integration, or related services.
- Tinfo will host, promote, and/or distribute job-related content through its platform.
The nature and scope of collaboration shall be defined in writing (Schedule A, if applicable).
2. Scope of Partnership
The Partner agrees to:
- Provide accurate and lawful job postings or services.
- Ensure compliance with all applicable employment and advertising laws.
- Maintain professional standards in dealing with job seekers.
Tinfo agrees to:
- Provide platform access for job listings and related services.
- Promote listings in accordance with agreed service levels.
- Maintain reasonable system uptime and support.
3. Term
This Agreement shall commence on the Effective Date and shall remain in effect for:
- An initial term of [12 months / Specify Period], unless terminated earlier in accordance with this Agreement.
- The Agreement may be renewed upon mutual written consent.
4. Compensation and Payment Terms

All payments shall be made within [30] days of invoice unless otherwise agreed.

5. Representations and Warranties
Each Party represents and warrants that:
- It has full legal authority to enter into this Agreement.
- Its obligations do not violate any other agreement.
- It will comply with all applicable laws and regulations.
The Partner specifically warrants that:
- Job listings are legitimate and non-fraudulent.
- It has authority to recruit on behalf of employers (if applicable).
- It will not engage in discriminatory hiring practices.
6. Confidentiality
Both Parties agree to keep confidential all non-public information disclosed during the partnership, including but not limited to:
- Business strategies
- Financial data
- User data
- Technical systems
Confidential information shall not be disclosed to third parties without written consent unless required by law.
This obligation survives termination of the Agreement.
7. Data Protection and Privacy
If the Partner receives access to user data:
- It must comply with all applicable data protection laws.
- It must implement reasonable security measures.
- It may use personal data only for the purposes outlined in this Agreement.
- It must not sell or misuse candidate data.
In the event of a data breach, the affected Party must notify the other Party promptly.
8. Intellectual Property
- Each Party retains ownership of its intellectual property.
- The Partner may not use Tinfo branding without written permission.
- Tinfo may use the Partner’s logo for partnership promotion unless otherwise restricted in writing.
9. Non-Circumvention
The Partner agrees not to:
- Circumvent Tinfo to directly solicit users introduced via the platform without consent.
- Copy, replicate, or misuse proprietary systems.
10. Independent Contractors
The Parties are independent contractors. Nothing in this Agreement creates:
- A joint venture
- An employer-employee relationship
- An agency relationship
Neither Party may bind the other without written authorization.
11. Indemnification
The Partner agrees to indemnify and hold harmless Tinfo from any claims, damages, losses, or liabilities arising from:
- Fraudulent job postings
- Legal violations
- Misuse of user data
- Breach of this Agreement
Tinfo shall indemnify the Partner for claims arising from platform system negligence or breach of this Agreement.
12. Limitation of Liability
To the maximum extent permitted by law:
- Neither Party shall be liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the total fees paid under this Agreement during the preceding 12 months.
13. Termination
This Agreement may be terminated:
- By mutual written consent
- By either Party with [30 days] written notice
- Immediately upon material breach if not cured within [15 days]
Upon termination:
- All outstanding payments become due.
- Access to platform systems shall be revoked.
- Confidential information must be returned or destroyed.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of:

Any disputes shall be resolved through:
- Good-faith negotiations

15. Force Majeure
Neither Party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, government actions, cyberattacks, or service outages.
16. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, proposals, or agreements.
Amendments must be made in writing and signed by both Parties.
